Please read these Terms of Service ("Terms") carefully before using the Mic To Speaker mobile application (the "Application") and related services (the "Service"). These Terms form a binding agreement between you ("You" or "User") and Zeeron Studio Pvt. Ltd. ("Company," "We," "Us," or "Our").

1. Interpretation and Definitions

Interpretation

The words with initial capitalization have meanings defined below. These definitions apply regardless of whether they appear in singular or plural.

Definitions

• Application means the software program provided by the Company downloaded by You on any device, named Mic To Speaker.
• Application Store means the digital distribution service operated by Apple Inc. (Apple App Store) or Google LLC (Google Play Store) where the Application is made available.
• Company refers to Zeeron Studio Pvt. Ltd., Godawari-14, Lalitpur, Nepal.
• Device means any device that can access the Service such as a computer, cellphone, or tablet.
• Service refers to the Application and any related features.
• Content means text, messages, prompts, responses, and other materials submitted, posted, or generated through the Service.
• You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service.

2. Acceptance of Terms

By downloading, accessing, or using the Service, You agree to be bound by these Terms. If You do not agree to these Terms, do not use the Service.

3. Eligibility

The Service is not directed to children under 13. If You are under the age of 13, You may not use the Service. If You are under the age of majority in Your jurisdiction, You represent that You have obtained parental or guardian consent to use the Service.

4. No Ads or Tracking

The Application does not display advertisements and does not include third-party tracking SDKs for behavioral advertising. However, the Application Store and Your device platform may collect information under their own policies. Please review their terms and privacy policies for details.

5. License and Acceptable Use

Subject to these Terms, the Company grants You a limited, non-exclusive, non-transferable, and revocable license to use the Service for personal, non-commercial purposes. You agree not to:

• Copy, modify, or create derivative works of the Service;
• Reverse engineer, decompile, or attempt to extract source code;
• Use the Service in any unlawful, harmful, or abusive manner;
• Interfere with or disrupt the integrity or performance of the Service;
• Use the Service to submit sensitive personal data or confidential information;

6. User Content

You retain any rights You may have in Content You submit. By submitting Content through the Service, You grant the Company a non-exclusive, worldwide, royalty-free license to host, store, process, and display such Content solely to operate and improve the Service.

You represent and warrant that You have all rights necessary to submit the Content and that Your Content does not violate any law or infringe any third-party rights.

7. Intellectual Property

The Service and all materials provided by the Company, including text, graphics, logos, and software, are owned by or licensed to the Company and are protected by intellectual property laws. These Terms do not grant You any rights to use Company trademarks or branding.

8. Third-Party Services

The Service may include links to third-party websites or services or rely on third-party providers (including Application Stores). The Company does not control and is not responsible for third-party content, policies, or practices.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CONTENT WILL BE ACCURATE OR RELIABLE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY OR ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU (IF ANY) FOR USE OF THE SERVICE OR 100 USD, WHICHEVER IS LESS.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to Your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend Your access to the Service immediately, without notice, for any reason, including if You breach these Terms. Upon termination, Your right to use the Service will cease.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Nepal, excluding its conflict of law rules. You agree to attempt to resolve any dispute with the Company informally by contacting Us before filing a claim.

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date above. Your continued use of the Service after changes become effective constitutes Your acceptance of the revised Terms.
